IANAL, or a CPA, but isn't one of the points the IRS looks at to distinguish between an employee and an independent contractor whether the worker has the right to hire out the work they're contracted to do? See #3: http://www.irs.gov/uac/Employee-vs.-Independent... Section 6 of this contract would seem to violate that principle. If I were hiring contractors under this agreement, I would be concerned that this might change their status to W2 employees. Again, not a lawyer, if I'm wrong, please correct me. If I'm right, I hope this comment saves someone from a world of legal hurt. If you're going to correct me, I'd appreciate polite responses backed by facts and citations, not opinion and conjecture.
