This Declaration of Commencement Date is made as of Day and Month, Year by Landlord ("Landlord"), and Tenant ("Tenant"), who agrees as follows:
1. Landlord and Tenant entered into an Office Lease Agreement dated Day and Month, Year, in which Landlord leased to Tenant and Tenant leased from Landlord certain Premises described therein in the Lease. All capitalized items terms herein are as defined in the Lease.
2. Pursuant to the Lease, Landlord and Tenant agreed to and do hereby confirm the following matters as of the Commencement of the Term:
a. the Commencement Date of the Lease is Date;
b. the Expiration Date of the Lease is Date;
c. the number of rentable square feet of the Premises is total square feet;
d. the number of rentable square feet of the Building is total square feet;
e. Tenant's Pro Rata Share is Percentage%;
3. Tenant confirms that:
a. it has accepted possession of the Premises as provided in the Lease;
b. the Leasehold Improvements required to be furnished by Landlord under the lease and the Work Agreement have been funished and substantially completed (subject to any Punch-list items of which Tenant has notified Landlord in accordance with the Lease);
c. Landlord has fulfilled all its obligations to be provided to the Tenant as of the date hereof;
d. the Lease is in full force and effect and has not been modified, altered, or amended, except as follows:
List here the ways in which the lease may have been changed;
e. there are no set-offs or credits against Rent, and no Security Deposit or prepaid rent has been paid except as provided by the lease.
4. The provisions of this Declaration of Commencement Date shall inure to the benefit of; or bind, as the case may require, the parties and their respective successors and assigns subject to the restrictions on assignment and subleasing contained in the Lease, and are hereby attached to and made a part of the Lease.
