This agreement is between Company/Developer, the Developer, and Client/company, the Client.
Client is contracting Developer as a provider of web site maintenance services for the single website hosted at example.com for the period of 12 months. Client will pay Developer $80 per month for the services outlined in this agreement. Services not covered in this agreement are subject to be charged at a regular hourly rate of $100.
Developer shall provide Client services including applying official Wordpress updates and official plugin updates once per month.
Developer will also provide one hour of services per month at no cost. If this time is not used, it may be rolled over to subsequent months. A maximum of 5 hours may be rolled over to subsequent months. This will be called the Service Credit.
Developer will issue invoices to Client on or about the 1st of each month. The invoice will cover work done for the current month in which the invoice was issued. The invoices must be paid within 30 days of the issue date.
During the duration of this contract, the Client agrees that Developer will be the sole provider of maintenance services for the web site, and no other party will have access to or rights to change the web site. If any party other than Developer makes changes to the web site, then any issues arising from these changes will be the responsibility of the 3rd party to remediate. If Developer is requested to work on these issues, then Client be charged for at the hourly rate specified above. Service Credit may be applied to this work.
Deadlines & Deliverables:
Developer will respond to all maintenance requests from Client within 24 hours on weekdays and 48 hours on weekends, via email or phone, with a confirmation that the request was received, and an estimated completion date for each action item in the request. Maintenance requests received after 4:00pm EST may not be completed until the next business day unless prior arrangements have been made.
Developer will adhere to all quoted deadlines for the deliverables in the maintenance requests at all possible costs. In the event that Developer has any issues in delivering on a quoted deadline, Client will be notified via email or telephone the reasoning for any change.
Survivability and Termination:
At the end of this contract, if no written notice of termination sent from Client to Developer, the agreement will remain in effect on a month-by-month basis.
This agreement may be terminated by either party prior by submitting a written notice with one month advance notice.
Client hereby authorizes Developer to access their web hosting account, providing active user name / password combinations for access to the server via FTP, assuring that 'write permissions' are in place on said hosting provider.
This Agreement shall be governed by and construed in accordance with the laws of New York State applicable therein.
Signing this document means you agree to the terms of this document “CMS Website Maintenance Agreement”.
