Summary

This contract is designed to ensure that we're both protected from any unexpected circumstances. It also lays out the basic groundwork for how the project will progress, and what's expected of us both.

So in short;

You, "Keep it Cali" - Tab Perry, Mariha Hart, are hiring me, Daniel Neuman, to design and develop a brand for the estimated total price of $12,200 as outlined in the proposal provided.

What do both parties agree to do?

You: You (Tab Perry & Mariha Hart) have the authority to enter into this contract on behalf of "Keep it Cali". You agree to provide me with everything that I need to complete the project including text, images and other information as and when I need it, and in the format that I ask for. You'll review my work and provide feedback and approval in a timely manner so we can stay on our agreed schedule. Deadlines work two ways, so you'll also be bound by any dates we set together. You also agree to stick to the payment schedule set out at the end of this contract.

Me: I, Daniel Neuman have the experience and ability to perform the services you need from me and I will carry them out in a professional and timely manner. Along the way I will endeavour to meet all the deadlines set but I can't be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off my work on-time at any stage. On top of this I will also maintain the confidentiality of any information that you give me.

    • Patterns (2 patterns & 1 revision per pattern)
    • Packaging
      • CBD Gummies (tin) (2 concepts & 1 revision)
      • CBD Joints (mylar bag/pouch) (2 concepts & 1 revision)

I'm not responsible for writing or editing any text copy unless specified in the original estimate. If you’d like me to write new content or edit text for you, I can provide a separate estimate for that from my copywriter.

Supplying Materials

You should supply graphic files in an editable, vector digital format. You should supply photographs in a high resolution digital format. In the event that I have to purchase stock photography, vector images, or other graphics for the completion of your project, those charges will be reflected in your final invoice.

Changes and revisions

This contract is fixed-price, however, sometimes things change throughout the scope of a project. I don’t want to limit your ability to change your mind. If you want to change your mind or add anything new, that won’t be a problem. Any additional fees will be confirmed in writing prior to doing the work. Additional revisions beyond the agreed amount are billed at $125/hr.

Legal stuff

I can’t guarantee that my work will be error-free and so I can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised me of them. Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.

Cancellation Fees

In the event of Cancellation, Designer will be compensated for services performed through the date of cancelation in the amount of a prorated portion of the fees due. Upon cancellation all rights to the designs revert to the Designer and all original art must be returned, including sketches, comps, or other preliminary materials.


Copyrights

First, you guarantee that all elements of text, graphics, photos, designs, trademarks, or other artwork you provide are either owned by you, or that you’ve permission to use them.

Then, when your final payment has cleared, copyright will be automatically assigned as follows:

You’ll own the visual elements that I create for this project. I’ll give you source files and finished files and you should keep them somewhere safe as I'm not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them.

I’ll own the unique combination of these elements that constitutes a complete design and I’ll license that to you, exclusively and in perpetuity for this project only, unless we agree otherwise. This basically just means that you can't take the design I made for you and sell it to Nike, but otherwise won't impact you.

I love to show off my work and share what I’ve created with other people, so I reserve the right to display this project on my webite, social media or in any promotional material.


Timeline

Daniel Neuman and Taylor Penton will start on strategy after Daniel Neuman receives this signed agreement along with deposit from the Client. Client is to provide Daniel Neuman with dates available to schedule three 4-hour strategy sessions.

Below is a tentative schedule of each section of the project if the deposit is paid and contract is signed by Tuesday June 21st. If the contract is signed after Tuesday June 21st or the deposit is paid after Tuesday June 21st the dates listed below will be pushed back by each business day it is delayed.

In order to meet these dates listed below feedback is needed in a timely manner, 1-2 business days. If feedback is not received within 1-2 business days dates are subject to change.

Strategy - June 22-30th (dates will be scheduled within this timeframe and strategy will be completed by June 30th)

Logo Design - July 1-15

Packaging/Apparel/Patterns - July 15 - August 9th


Payments

It's important that these invoices are promptly paid as to keep the schedule of work flowing.

Deposit required upfront to begin project: $4,000

Once each section of the project is completed an invoice and payment request via Melio will be sent out to pay that portion of the project and deliverables will be sent upon receiving payment.

Each section and tentative date is listed below with the amounts due:

Strategy - $1,500 due June 30th or when completed.

Logo Design - $2,500 due July 15th or when completed.

Packaging/Apparel/Patterns - $4,200 due August 9th or when completed.

Interest accrued if payment is more than 10 days late is 5% of outstanding amount to be added every 7 days.

Last, But Not Least...

You can’t transfer this contract to anyone else without my permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Designer

This Agreement must be signed and returned before Designer can schedule or begin this job.
Electronic signatures shall be considered legal and binding.
