Pay for Work Consulting Retainer Agreement

This is a simple retainer agreement for consulting services.

By signing this agreement, ARCS (“Client”) has retained Holly Fruehling (“Service Provider”) to proceed with consulting services for the period 9/12/19 to 3/12/19, and agrees to the terms and conditions as set forth in this Agreement.

During this period, Service Provider agrees to devote up to 64 hours per month on assignments to be determined together by Service Provider and Client if approved by the 1st of the month on the work calendar.

Retainer payment for Consultant's services will be paid pro-rata in advance of Service Provider's engagement, at the rate of $50.00 per month and will be paid in advance for a six month period from September 12, 1919 - March 12, 2020

Services in addition to hours per month will be made available by Service Provider at the rate of $ per hour and will be billed separately. Any other expenses are exclusive of retainer or billable hours, and are not included in this agreement and will be billed separately. Examples of such expenses are: reasonable & approved travel & business expenses. All hourly billing & expense invoices will be net 30.

Description of Consulting Services:


All materials furnished by Client will remain the property of Client and will be returned upon request, or no more than 10 days from the termination of this agreement.

The results of any and all work performed by Service Provider for Client, including customer information, will remain the property of the Client. Client may use this material in any way deemed appropriate.

This agreement may be terminated on 30 days’ written notice by either Service Provider or Client. In case of termination, Service Provider shall make a reasonable attempt to finish work in progress.
