Coaching and Technical Support Contatract for small design company and client
Evolving Humanity Support Agreement
This Support Agreement between Evolving Humanity (The Company) and Rebecca Garland (The Client) will begin on July 22nd 2015 (Start Date) and will continue as long as both parties consent. The fee agreed upon by the Company and Client on the Start Date is $350+GST per month.
Payment of this fee entitles the Client access to services from the Company for the upcoming month, and used as payment of any outstanding balance on an upcoming project, monthly support or payment package.
The Company is defined as Elena Harder (The Coach) and the Evolving Humanity Team (The Team).
COACHING SERVICES: The Coach will review the Client's goals and personal development work, and discuss and assess the Client's creative goals. Working with the Client, the Coach will create an appropriate plan for achieving the goals. Once the plan is created and agreed upon, the Client will take necessary steps to implement the plan. The Coach and Client will meet periodically to review progress. The Coach will also synergize with the Team to reach objectives, and make appropriate introductions on behalf of the Client.
TECHNICAL SERVICES: The Team will review the Client's online systems and desires for expansion, and discuss and assess the Client's marketing plan. Working with the Client, the Coach will create an appropriate plan for achieving the goals. Once the plan is created and agreed upon, the Team will take necessary steps to implement the plan with the support of the Client. The Client may request work and updates directly from the Team, and will meet periodically with the Coach to review progress.
RESPONSIBILITIES: The Coach will make reasonable efforts to ensure the Client's success. The Client understands the Coach cannot guarantee the Client's success. The Client also understands that it is his/her responsibility to perform take the actions agreed upon, and to inform the Coach of any blocks to taking action, including personal or professional issues that arise for maximum transformation during this process.
USAGE AND OWNERSHIP OF CLIENT DOCUMENTS: The Client understands and agrees that until paid in full, the Company owns full rights to each and every original design created under this Agreement. If not paid in full, and with no response to communication for 30+ days, the Company can complete, exhibit, use and sell the design(s) at our sole discretion.
After the Client has paid in full, they will own rights to the final design(s) that are approved and created. The Company will retain the right to use the final design(s) and all preliminary designs for educational purposes and in marketing the Company. You will be solely responsible to make sure that the design(s) created for you will be available for use in commerce and protectable under trademark law.
TERM: The Support Agreement will begin on the Start Date, and continue indefinitely as long as the Coach and Client agree. If either party wishes to terminate the Agreement, s/he will call via Skype or phone to discuss concerns and issues, and if no resolution can be found, notify the other party via email of the desire to terminate.
TERMINATION: In the case of termination of this Agreement, either party must give 1 month notice to termination of contract. In the case of termination within an existing payment plan for work already completed, or an outstanding balance on a Package Service, the remainder of the fee may be charged.
FEES: The fee for coaching services is $125/hr. The fee for technical services is $50/hr. The fee for simple web services is $20/hr. Hours billed will include time spent in meetings, as well as preparation. The Coach will invoice the Client for services rendered monthly. Payments will be made within 15 days of the invoice date.
GRIEVANCES: The Client agree that, in the event of any claim or grievance by the Coach, the sole remedy will be the return of the fees paid to the Coach. The Coach is not responsible for any direct, indirect, incidental or consequential damages beyond the total amount of fees paid by the Client.
CONFIDENTIALITY: The coach promises the client that all information provided to the coach will be kept strictly confidential within the Company as allowed by law, except where agreed upon by both parties. No personal information shall be released without the client’s written consent. Affiliate links may be used, and will be disclosed where applicable, should any additional products or services be recommended.
