A plain English NDA.
This agreement is between us (LendLayer, located at 2201 Market St, San Francisco, CA 94119) and you (Epicodus, Inc., located at 208 SW 5th Ave, Portland, OR 97204).
You wish to use LendLayer's services to provide loans to your students. So that we can provide you with this service, you wish to disclose confidential information to us. We agree not to share that information with anybody else, except as agreed here.
Confidential information includes only the items listed here:
- Number of students enrolled
- Number of graduated students
- For each student, if their tuition was financed or paid in full
- For each financed tuition, the current loan status
We’ll keep confidential information to ourselves and we won’t use it except to provide loans to your students. We’ll take at least the same amount of precaution with your confidential information as we take with our own, such as keeping files, access to online systems and any user names and passwords in such a way that they don't fall into the wrong hands.
If we think that there’s even a possibility that any confidential information might have been compromised, we agree to tell you right away so we can take all necessary steps to protect it from becoming public. We also agree to help each other to resolve any problems that might arise if confidential information is compromised.
What's not covered?
Anything not listed in this agreement is not confidential information. If something is already in the public domain or becomes public, it's not confidential information, even if it's listed in this agreement. Although we hope that it will never happen, this agreement also does not cover a situation where we’re required by law to disclose something. If this happens, we'll let you know and try to help you keep it confidential.
How long does this agreement last?
We'll keep this agreement in effect until the confidential information has become public.
Neither you nor we can transfer this agreement to anyone else without the other party's permission.
If it turns out part of this agreement isn’t enforceable, you and we will remove that part, and it won't affect the rest of the agreement.
If you and we have a dispute, the State of Oregon's laws will apply, except for the conflict of laws rules, and you and we will go to court in Multnomah County, Oregon.
